Technology 4 a Better World

2. Eligibility: The Technology for a Better World Campaign (the “Contest”) presented by Ashoka’s Youth Venture (“Youth Venture”), sponsored by Best Buy Children’s Foundation (the “Best Buy”) is open only to legal residents of the United States who are active members of groups of two (2) or more individuals for the purpose of carrying out a community impact venture (such groups are hereinafter referred to as “Teams,” and their respective individual members, “Team Members”), where each Team meets the following requirements: (i) at least sixty percent (60%) of the Team Members are between the ages of thirteen (13) and eighteen (18) as of April 11, 2011, (ii) the Team leader is between the ages of thirteen (13) and eighteen (18), and (iii) the Team has launched or is in the process of launching a community impact venture, either in connection with Youth Venture or apart from Youth Venture. Any entrant under the age of eighteen (18) must obtain a signature of a parent or legal guardian on his/her application and on all legal documents submitted in connection with this contest. No purchase is necessary to enter the Contest.

To be eligible, the Team must demonstrate that their community impact venture meets the following criteria: the venture is youth-created and youth-led; the venture is designed to be ongoing and sustainable (not a one-time event); the venture creates positive community impact; the venture has clear, attainable goals; the venture utilizes technology to achieve the venture goals; and, Team members are trustworthy and committed to high ethical standards. Organizations created by individuals over eighteen (18) and operated by minors are not eligible for the Contest.

Any Team that has previously won a Youth Venture contest sponsored by Best Buy is ineligible for the Contest. Employees of either Youth Venture or Best Buy, and any of their parent, subsidiary and affiliate companies, advertising, promotion, or production agencies, web masters and web suppliers, and any companies who are performing work in Best Buy stores at the request of Best Buy, as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible.  The Contest is subject to all applicable federal, state, and local laws and regulations.  Void where prohibited.

By participating in this Contest, entrants: (a) agree to be bound by these Official Rules and by the interpretations of these Official Rules by Youth Venture and Best Buy, and by decisions of Youth Venture and Best Buy, which are final in all matters relating to this Contest; (b) to release and hold harmless these Contest Entities against any and all claims, injury or damage arising out of or relating to participation in the Contest; (c) acknowledge compliance with these Official Rules; and (d) acknowledge compliance with Youth Venture’s Conditions of Association in Exhibit A.

3. Sponsor: This Contest is sponsored by Ashoka’s Youth Venture, 1700 N Moore St # 2000, Arlington, VA 22209

4. Entry Period: The Contest begins at or around 5:00 p.m. CT on April 11, 2011, and ends at 5:00 p.m. CT on May 9, 2011 (the “Entry Period“).

5. How to Enter: Teams may visit http://www.heya.toyota.comwww.facebook.com/YouthVenture and follow instructions to submit an Executive Summary of their community impact venture.  All team members must complete and sign both the Affidavit of Eligibility and the Liability & Publicity Release. Team members under the age of eighteen (18) must also arrange for their parent/legal guardian to sign the Affidavit of Eligibility and the Liability & Publicity Release.  Limit one (1) Executive Summary per Team. Then, teams will be notified by Youth Venture of further instructions in order to complete your Team entry, which may include: release forms, an Action Plan, Conditions of Association, and other materials.

By submitting an Executive Summary, Action Plan or any other material to Youth Venture in connection with the Contest (each, a “Submission”), each Team and its Team Members agree that its Submission conforms to the Submission Guidelines and Content Restrictions as set forth below (collectively, the “Guidelines and Restrictions”).  Youth Venture may disqualify a Submission and disqualify a Team from the Contest if it believes, in its sole discretion, that a Submission fails to conform to the Guidelines and Restrictions.  Any and all Submissions which do not comply with the Contest entry requirements set forth above and/or the Guidelines and Restrictions will be destroyed and will not be returned to entrants.

 

All entries must be received by 5:00 p.m. CT on May 9, 2011.  Each entry must contain solely the entrant’s original ideas and language.  Each entry should also include for each and every Team Member the full name, age, phone number and e-mail address where he or she can be reached during regular business hours (Monday-Friday, 8:30 a.m. to 5:30 p.m. CT). Completed entries, submitted in accordance with these Submission Guidelines shall be collectively referred to hereinafter as the “Eligible Entries”.  All entries become the property of Youth Venture and will not be returned.

 

Submission Guidelines:
Limit One (1) Executive Summary and Action Plan per Team for the Contest Period. Submissions received from any person or Team in excess of the stated limit will be void.  Notwithstanding the foregoing, neither Youth Venture nor Best Buy shall take an ownership interest in any previously existing intellectual property contained in any Submission, except for the non-exclusive rights outlined herein. Youth Venture and Best Buy shall have the right to edit, adapt and publish any or all of the Submissions, and may use them in any media without attribution or compensation to any entrant, his/her successors or assigns, or any other person or entity. SUBMITTING A SUBMISSION TO YOUTH VENTURE IN THIS CONTEST CONSTITUTES ENTRANT’S CONSENT TO GIVE YOUTH VENTURE AND BEST BUY EACH A ROYALTY-FREE, IRREVOCABLE, PERPETUAL, NON-EXCLUSIVE, WORLDWIDE LICENSE TO USE, REPRODUCE, MODIFY, PUBLISH, CREATE DERIVATIVE WORKS OF, AND DISPLAY SUCH SUBMISSION IN WHOLE OR IN PART, ON A WORLDWIDE BASIS, AND TO INCORPORATE IT INTO OTHER WORKS, IN ANY FORM, MEDIA OR TECHNOLOGY NOW KNOWN OR LATER DEVELOPED, INCLUDING FOR PROMOTIONAL OR MARKETING PURPOSES. If necessary, each Team Member will sign any necessary documentation that may be required for Youth Venture, Best Buy or their designees to make use of the non-exclusive rights he or she is granting to use the Submission.

 

Neither Youth Venture nor Best Buy is responsible for lost, late, stolen, damaged, incomplete, invalid, un-intelligible, garbled, postage due, delayed or misdirected Submissions; all of which will be void.  Released Parties (as defined in Section 10 below) assume no responsibility for disputes between persons claiming authorship of any Submission.  If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Youth Venture or Best Buy, which affect the administration, security, fairness integrity or proper conduct oft his Contest or for any reason Youth Venture deems is necessary, Youth Venture reserves the right to cancel, terminate, modify, delay or suspend the Contest.  Entries that have been tampered with or altered are void.  By participating in this Contest, entrants acknowledge compliance with these Official Rules.

 

6. Winner Determination: A panel of qualified judges determined by Youth Venture in its sole discretion will select up to five (5) Grand Prize Winners from among all Eligible Entries.  Judges will select the Grand Prize Winners from all the Eligible Entries received based on which entries, in their subjective opinion, most effectively present a sustainable civic minded venture that exhibits the following strengths: (a) impact on a well-defined social issue, (b) innovative use of technology, (c) well articulated idea, (d) ability of the Team to present its innovation via various forms of communication, and (e) geographic diversity.

 

7. Grand Prizes: Five (5) GRAND PRIZE WINNING Teams: Each Grand Prize Winning Team will receive one (1) all-expenses-paid trip to Washington, DC to an awards ceremony for one team leader or, if the team leader is under 18 years of age, then for one team leader and one parent or guardian; a profile of the venture on the Youth Venture website; and support from Youth Venture staff and volunteers in advancing their venture through individualized coaching sessions and other support.  Fifty (50) PRIZE WINNING Teams: All teams that submit a valid Executive Summary may also be considered by Youth Venture for seed funding, launch support and participation in the Youth Venture network. Youth Venture may provide seed funding, at its sole discretion, for up to fifty (50) selected Teams that launch new community impact initiatives.  Teams must meet established Youth Venture criteria and their ventures must use technology to advance social change in order to be invited to complete an Action Plan.  Seed funding and launch support are awarded on a rolling basis.

8. Winner Requirements: Grand Prize Winning teams will be notified by mail, email or phone on or around May 25, 2011.  Upon notification of their selection, the Team must complete, sign and return to Youth Venture certain documentation, within ten (10) days after a notice thereof or attempted notice thereof is sent to his or her Team, in order for his or her Team to claim the applicable prize.  If any Member of a Team that is a potential Grand Prize Winner cannot be contacted within five (5) days, fails to execute and return the required paperwork within the required time period, is not in compliance with these Official Rules, or if a prize or prize notification is returned as undeliverable, the entire corresponding Team forfeits the applicable prize.  If a potential Grand Prize winning team is disqualified for any reason, the prize may be awarded to a runner-up, if any, at the Sponsor’s sole discretion.  Only three (3) alternate potential Grand Prize winning teams will be selected through this process, if time permits, after which the applicable prize or opportunity will remain un-awarded. Grand Prizes will be fulfilled approximately six months after the conclusion of the Contest.

 

Prize Winning teams are subject to the following conditions: (a) Team must meet all established Youth Venture criteria (b) Team Members must sign all required legal documents provided by Youth Venture, and must have their parents or legal guardians sign such documents, as applicable; (c) all funds awarded must be applied to expenses of the Ventures described in such Teams’ respective Action Plans; (d) the Team must provide Youth Venture with periodic evaluations of their Ventures, upon request; (e) the Team must comply with all Conditions of Association outlined in Exhibit A; and (f) grant money shall not be used to pay salaries associated with any aspect of the Venture.  Youth Venture will disburse the seed funding within approximately eight (8) to ten (10) weeks of final verification of each Team, and in the names of the Team Members who submitted the Action Plan, unless otherwise determined by Youth Venture.   Any seed funding is non-transferable and no substitution will be permitted unless Youth Venture, in its sole discretion, determines otherwise. Teams and their Team Members (or their parents/legal guardians) are solely responsible for all federal, state and local taxes and any other costs, expenses or fees associated with any acceptance of any seed funding and/or use not specified herein.

 

Acceptance of status as a Prize Winning Team or Grand Prize Winning Team by a Team shall constitute and signify each Team Member’s agreement and consent that Youth Venture, Best Buy and their respective designees have the license to use, edit, make derivatives of the prize winner’s submission including the use of each Team Member’s name, city, state, likeness, photo, voice, Submission and/or prize information for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, review, permission or other consideration, except where prohibited by law.  Without limiting the generality of these Official Rules, each Grand Prize Winning Team Member shall irrevocably grant, transfer, convey and assign to Youth Venture and Best Buy the entirety of the rights in and to its Team’s Submissions and all renewals and extensions of copyright, and the right to secure copyright registrations thereto in perpetuity including, without limitation, the rights to use the Submissions for any and all purposes in any and all media whether now known or hereafter developed, on a worldwide basis, in perpetuity. Each Grand Prize Winning Team Member accepts and acknowledges that neither Youth Venture nor Best Buy shall be obligated to use a Submission in any manner. Neither Youth Venture nor Best Buy shall incur any liability whatsoever to the extent such Youth Venture or Best Buy chooses to refrain from any exploitation of its rights hereunder. Each Team Member will indemnify Youth Venture, Best Buy, the Released Parties (as defined in Section 10 below) and any licensee of either Youth Venture or Best Buy against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms.

9. Release: By participating in the Contest, each entrant agrees to release and hold harmless Youth Venture,  Best Buy, and their respective parent companies, subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of such entities’ respective officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising, in whole or in part, directly or indirectly, out of such entrant’s participation in the Contest or any Contest-related activity, or such entrant’s receipt or use or misuse of any prize, or for any printing, production, typographical, human or other error in the printing, offering or announcement of any prize.

 

10. General Conditions: Youth Venture reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor impairs the integrity or proper functioning of the Contest, as determined by Youth Venture in its sole discretion.  If the Contest is terminated, Youth Venture and Best Buy may, in their sole discretion, determine the winning Teams from among all non-suspect, eligible entries received up to the time of such action using the judging procedures outlined above.  Youth Venture, in its sole discretion, reserves the right to disqualify any Team it finds to be tampering with the submission process or the operation of the Contest or to be acting in violation of these Official Rules or those of any other promotion or in an unsportsmanlike or disruptive manner.  Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Youth Venture and Best Buy reserve the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law.  Failure to enforce any term of these Official Rules shall not constitute a waiver of such term.

 

Youth Venture and Buy Buy comply fully with all U.S. laws and regulations, including Office of Foreign Assets Control regulations, export control, and anti-money laundering laws. All grants will be awarded subject to compliance with such laws. Youth Venture will not make any grant if it finds that to do so would be unlawful. This may prohibit awards in certain countries and/or to certain individuals or entities. All recipients will comply with these laws to the extent they are applicable to such recipients. No recipient will take any action that would cause Youth Venture or Best Buy to violate any laws.

 

11. Limitations of Liability: Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether or not caused by entrants, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Contest; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the Contest; (d) printing, typographical, technical, computer, network or human error which may occur in the administration of the Contest, downloading of forms, the uploading, mailing, processing or judging of Submissions, the announcement of the prizes or in any Contest-related materials; (e) late, lost, undeliverable, damaged or stolen mail; or (f) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or a Contest-related activity, or receipt or use of any prize (including any travel/activity related thereto).  Released Parties are not responsible for misdirected or undeliverable Submissions or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmissions or any combination thereof.  Released Parties are not responsible for any unauthorized third party use of any Submission.

12. Tax Compliance. All entrants into this Contest are solely responsible for consulting with qualified professionals and investigating, understanding and complying with any and all federal, state and local laws, codes, regulations and ordinances which may apply to entrants and the activities and/or business in which such entrants may engage.  There may be tax consequences associated with a winning Team’s receipt of seed grant money or the Grand Prize award, which may include, without limitation, an obligation for such Team to report such funds as income and to pay taxes on such funds/income to federal, state and/or local authorities.  Each Team, and not the Released Parties, shall be solely responsible for the tax consequences of such funds/income, and to comply with all applicable laws with respect thereto.

13. Disputes: Except where prohibited, Contest entrants agree that: (a) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded in connection therewith shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the State of Virginia; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (c) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than actual, out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant, Youth Venture or Best Buy in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Virginia without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the State of Virginia.

 

14. Entrant’s Personal Information: Except as set forth in these Official Rules, information collected from each Team’s entry is subject to Youth Venture’s privacy policy (http://www.genv.net/en-us/terms_and_privacy).

 

15.  Grand Prize Winner List: Grand Prize Winning Team list requests will only be accepted after the Entry Period end date (listed above) and no later than October 31, 2011.  For the Grand Prize Winning Team list, send an email with subject line: “Technology for a Better World, Grand Prize Winner List Request,” to smyers@youthventure.org.

Youth Venture’s Conditions of Association

 

Nothing is more critical in becoming a Youth Venturer than knowing right from wrong and being trustworthy and responsible.  These Conditions of Association define core standards everyone involved with Youth Venture can expect from their colleagues.  By joining the Youth Venture community, you accept these standards as your own, you understand the responsibilities associated with becoming a Youth Venturer, and you agree not to pursue activities that could potentially harm other individuals or Teams or discredit Youth Venture as an organization.

 

Because these issues are so important, Youth Venture is available to help you think them through.  Please call us if you would like to discuss any potentially controversial components of your Venture.  By signing this document, you, your Venture Team, and all members of the Team agree to abide by the following standards of behavior. Youth Venture reserves the right to withhold or withdraw membership and support from any Venturer or Team that violates any of the following principles:

 

  1. Violence.  Youth Venturers will not advocate for, participate in, or endorse any type of violence.

 

  1. Diversity. Youth Venturers will not tolerate discrimination of any kind, including but not limited to: discrimination on the basis of race, age, class, religion, ethnicity, nationality, gender, or sexual orientation.

 

  1. Illegal Activity. Youth Venturers will not engage in or advocate for any type of illegal activity.

 

  1. Religious Respect.  Youth Venture respects religious freedom. We welcome partnerships with people of faith and faith-based organizations.  Youth Venturers and their Teams, consistent with these values, can be moved by faith but may not coerce others or use their Venture to preach to or try to recruit or convert others.

 

  1. Political Partisanship.  Youth Venturers are active citizens.  It is entirely appropriate for Teams to undertake issue advocacy and education, including support for referenda.  However, it is important that no Venture be used for partisan political ends.  Venture Teams may not endorse, advocate for, or promote political parties or candidates for public office – directly or indirectly.

 

Youth Venture supports the right of every young person to dream his or her own dream — and to organize and make it happen.  Upon accepting and respecting these five values and standards of conduct, we welcome every young person who has the courage and energy to build their dream as members in the Youth Venture community.  Youth Venture’s support of a Team does not necessarily indicate endorsement of its perspective or proposals, but rather support of the right of young people to be change agents in their communities.

 

Please review the Youth Venture terms listed below and sign the Team Member Contact Form and Agreement to indicate that you have read and agreed to the following:

 

1)   Your Venture Team will spend the start-up money provided by Youth Venture within the first 12 months of operation and only for the purposes outlined in your Youth Venture Action Plan.  Your Team must keep all receipts of all expenditures and provide copies of them in your reports to Youth Venture. The 12-month period begins when you receive your Youth Venture welcome letter.

 

At the end of the first 3 months and at the end of the first 12 months, you and your Team will provide a report directly to Youth Venture. Youth Venture will send you and your Venture Team a report outline that will ask for:

  1. An overview of the Venture which describes the activities completed to date.
  2. Your evaluation of the progress of the Venture, including goals achieved, youth participation, and future plans.
  3. Details of how all start-up money received has been used.

 

2)   Any funds provided by Youth Venture that are not spent by the end of the 12-month grant period shall be returned to Youth Venture.

 

3)   You and your Team will work with at least one Ally to develop your Venture.

 

4)   You and your Team will acknowledge the full range of Youth Venture’s support in interviews, conferences, and recognition opportunities related to your Venture.

 

5)   You and your Team agree and understand that your failure to carry out any of the terms described in this agreement may result in termination of support for your Venture.

 

6)   You and your Team take full responsibility for all actions related to your Venture and understand that Youth Venture is not responsible for your Venture or any of its activities.

 

7)   Your organization will provide contact information for all Team members, both current and future.

 

 

Each Venture Team member must sign the Team Member Contact Form and Agreement to indicate that (s)he has read and agreed to the terms described on the preceding pages and the YV legal agreement below. Venture Team members under the age of 18 must also have a parent or legal guardian sign this form. All Team members must sign this agreement.

 

THIS IS AN IMPORTANT LEGAL NOTICE:  PLEASE READ THE FOLLOWING CAREFULLY.  IF YOU DO NOT UNDERSTAND IT, HAVE SOMEONE READ IT AND EXPLAIN IT TO YOU.  YOU ACKNOWLEDGE AND AGREE TO THE FOLLOWING:

 

1.  YOUTH VENTURE, INC. (“YV”) PROVIDES ASSISTANCE, RESOURCES, AND GRANTS FOR START-UP EXPENSES TO PARTICIPANTS IN VENTURES.

 

2.  YV IS NOT, FOR LEGAL OR OTHER PURPOSES, A PARTNER, JOINT VENTURER, PRINCIPAL, AGENT, MANAGER, DIRECTOR, SHAREHOLDER, OR MEMBER OF ANY VENTURE OR ANY PARTICIPANT IN ANY VENTURE.  NEITHER YV, NOR ANY OFFICER, DIRECTOR, OR EMPLOYEE OF YV, HAS ANY RIGHT, POWER, OR AUTHORITY TO MAKE DECISIONS FOR OR TO BIND LEGALLY ANY VENTURE OR PARTICIPANT, OR TO CONTROL ANY OF THE ACTIVITIES, BUSINESS, OR AFFAIRS OF ANY VENTURE OR PARTICIPANT IN ANY VENTURE.  PARTICIPANTS IN VENTURES ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR MANAGEMENT AND CONTROL OF THE VENTURE, FOR THE ACTIVITIES AND BUSINESS OF THE VENTURE, AND FOR ALL OF THEIR CONDUCT, ACTS, OR OMISSIONS.

 

3.  PARTICIPANTS IN VENTURES ARE SOLELY RESPONSIBLE FOR CONSULTING WITH QUALIFIED PROFESSIONALS AND INVESTIGATING, UNDERSTANDING, AND COMPLYING WITH ANY AND ALL FEDERAL, STATE, AND LOCAL LAWS, CODES, REGULATIONS, AND ORDINANCES WHICH MAY APPLY TO THEIR VENTURES AND THE ACTIVITIES AND/OR BUSINESS IN WHICH SUCH VENTURES MAY ENGAGE.

 

4.  THERE MAY BE TAX CONSEQUENCES ASSOCIATED WITH THE FUNDS A VENTURE OR PARTICIPANTS IN A VENTURE RECEIVE FROM YV, AND WITH ANY INCOME RECEIVED BY A VENTURE, WHICH MAY INCLUDE, AMONG OTHERS, AN OBLIGATION TO REPORT AS INCOME AND TO PAY TAXES ON SUCH FUNDS/INCOME TO FEDERAL, STATE, AND OR LOCAL AUTHORITIES.  IT IS UP TO THE VENTURE’S PARTICIPANTS TO DETERMINE THE TAX CONSEQUENCES OF SUCH FUNDS/INCOME, AND TO COMPLY WITH ALL APPLICABLE LAWS IN ALL RESPECTS.

 

5. YV CANNOT PROVIDE LEGAL OR TAX ADVICE. PLEASE CONFER WITH QUALIFIED PROFESSIONALS TO HELP YOU DETERMINE AND COMPLY WITH YOUR LEGAL AND TAX OBLIGATIONS.
